Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SimpleKrypt application athttps://app.simplekrypt.com (the "Service") and, where relevant, the marketing website athttps://simplekrypt.com (the "Site"), operated by SimpleKrypt ("we", "us", or "our").

By creating an account, accepting an invitation, or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

SimpleKrypt provides an organization-scoped vault for teams to manage cryptographic keys, secrets, secure notes, certificates, and related workflows — including sharing, rotation, audit logging on eligible plans, and optional file-crypto operations.

We may update, improve, or discontinue features over time. Plan features and limits are described on the Site and in the Service and may change with notice where required.

2. Accounts and organizations

You must provide accurate registration information and keep your credentials secure. Each organization has a Super Admin who manages membership, access, billing, and invitations.

You are responsible for activity under your account and for ensuring that users you invite comply with these Terms. Access within an organization is governed by roles and capabilities configured in the Service.

3. Acceptable use

You agree not to:

  • Use the Service for unlawful purposes or to store or distribute illegal content
  • Attempt to gain unauthorized access to the Service, other accounts, or underlying systems
  • Interfere with or disrupt the Service, including through automated abuse or excessive load
  • Reverse engineer or circumvent security or access controls except where permitted by law
  • Misrepresent your identity or affiliation when registering or inviting users
  • Use the Service in a manner that infringes the rights of others

We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a security or legal risk.

4. Your content and data

You and your organization retain ownership of vault data you submit to the Service ("Customer Data"). You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and improve the Service, comply with law, and as otherwise described in ourPrivacy Policy.

You are solely responsible for the accuracy, legality, and backup of Customer Data and for managing who in your organization can access it.

5. Subscriptions and billing

Paid plans are billed per user per month (unless otherwise stated on the Site) through Clerk Billing. By subscribing, you authorize us and our payment processors to charge applicable fees, taxes, and minimum seat commitments where they apply.

Fees are non-refundable except where required by law or explicitly stated. We may change pricing or plan limits with advance notice. Continued use after a change constitutes acceptance of the new pricing for subsequent billing periods.

If payment fails or your subscription lapses, we may downgrade, restrict, or suspend access to paid features.

6. Free and early-access plans

We may offer free or early-access tiers with limited features or capacity. These tiers may change or be withdrawn at any time. We do not guarantee indefinite availability of free features.

7. Security and confidentiality

We implement security measures appropriate to a secrets-management product, including envelope encryption for sensitive fields and role-based access controls. You acknowledge that:

  • You are responsible for protecting devices and credentials used to access the Service
  • Share links you create may expose selected material to recipients you designate
  • Certain operations, including file crypto and share-link delivery, may process content on our servers as documented in the Service
  • No system is completely secure; you use the Service at your own risk regarding residual security exposure

8. Third-party services

The Service integrates with third parties such as Clerk for authentication and billing. Your use of those services may be subject to their terms. We are not responsible for third-party services outside our control.

9. Intellectual property

We and our licensors own the Service, Site, software, branding, and documentation. Except for the limited rights granted in these Terms, no rights are transferred to you. You may not copy, modify, or create derivative works of the Service except as permitted by law.

10. Disclaimer of warranties

The Service and Site are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or meet every security or compliance requirement your organization may have.

11. Limitation of liability

To the fullest extent permitted by law, SimpleKrypt will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunity, arising from or related to the Service or these Terms.

Our total liability for any claim arising out of or relating to the Service or these Terms is limited to the greater of (a) the amounts you paid us for the Service in the twelve months before the claim arose, or (b) one hundred US dollars (USD $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted by law.

12. Indemnity

You will indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, or your violation of these Terms or applicable law, except to the extent caused by our gross negligence or willful misconduct.

13. Term and termination

These Terms apply while you use the Service. You may stop using the Service at any time. Organization Super Admins may remove users and cancel subscriptions through the Service.

We may suspend or terminate access immediately for material breach, non-payment, security risk, or legal requirement. Upon termination, your right to access the Service ends. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnity) will survive termination.

14. Self-hosted deployments

If you use a self-hosted or separately negotiated deployment of SimpleKrypt, additional or different terms may apply under a separate agreement. Contacthello@simplekrypt.com for details.

15. General

These Terms, together with the Privacy Policy and plan descriptions on the Site, form the entire agreement regarding the Service. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver.

These Terms are governed by the laws of England and Wales, excluding conflict-of-law rules. Courts in England and Wales have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.
